Affiliate Agreement
This agreement describes the terms and conditions for participation in the DocuClipper affiliate program. In this agreement, “Affiliate” refers to you (the applicant), and “DocuClipper” refers to Grand Plans, LLC (DBA DocuClipper), a Delaware Corporation. By applying to the DocuClipper affiliate program, you confirm that you have read and agree to the terms and conditions of this agreement.
Commission Structures
There are two types of affiliate commission structures available through DocuClipper: one-time and recurring.
Commissions
To generate a commission, a referred customer must click through a qualified affiliate link and complete a purchase with full payment. Commissions are only awarded for transactions made via properly structured affiliate links. It is the sole responsibility of the affiliate to ensure that links are formatted correctly.
Affiliates on recurring plans will continue to earn commissions on each paid transaction by the referred customer for as long as they remain a paying customer, up to one year from the initial signup.
Cookie Duration
Referrals are tracked via cookies for a period of 30 days. If a customer completes a purchase within 30 days of clicking the affiliate link, the affiliate will receive credit for the sale. After 30 days, the referral will no longer be attributed to the affiliate.
Payment
- Commissions are paid via PayPal on a monthly basis, within 30 days of the end of each month.
- A minimum payout threshold of $25 USD applies. Balances below $25 will roll over to the next payout cycle.
- U.S.-based affiliates who earn over $600 in a calendar year will be required to submit a completed IRS Form W-9 before further payments can be issued.
Refunds
If a customer requests a refund for a transaction that generated a commission, the corresponding commission amount will be deducted from the affiliate’s balance.
Usage and Obligations
- Affiliates may use approved DocuClipper brand assets and marketing materials made available in the affiliate section of the platform.
- Logos, graphics, and other materials may not be modified.
- Affiliates do not gain any trademark, copyright, or ownership rights over any DocuClipper intellectual property.
- Affiliates may not represent themselves as acting on behalf of DocuClipper or claim to be an employee or agent.
- Affiliates may not advertise directly on behalf of DocuClipper, including bidding on branded keywords in paid search campaigns.
- Affiliates may not use unsolicited bulk email (spam) that includes references to DocuClipper.
- Affiliates may not promote DocuClipper on websites or channels containing illegal content, hate speech, pornography, or deceptive marketing.
Self-Referrals
Affiliates may not use their own affiliate links to purchase DocuClipper products for personal use. Self-referrals are strictly prohibited and will result in immediate removal from the program and forfeiture of unpaid commissions.
Independent Contractor Relationship
Affiliates are considered independent contractors. This agreement does not create a partnership, joint venture, agency, franchise, or employment relationship between the affiliate and DocuClipper.
Term and Termination
- Either party may terminate this agreement at any time, with or without cause, effective immediately.
- If the affiliate terminates the agreement, no future commissions will be paid.
- If DocuClipper terminates the agreement, balances over $25 USD will be paid out within 60 days. Balances under $25 will be forfeited.
- For recurring programs, DocuClipper is not obligated to make future commission payments after termination.
Fraud, Abuse, and Right to Audit
DocuClipper reserves the right to withhold or cancel commissions, and to terminate affiliate accounts for any of the following reasons:
- Fraudulent, misleading, or abusive behavior
- Violation of any part of this agreement
- Poor-quality or non-compliant traffic sources
DocuClipper reserves the right to audit affiliate activities at any time to ensure compliance.
Governing Law
This agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
Arbitration
All disputes or claims arising under or relating to this agreement shall be settled by binding arbitration in the State of Delaware. Any arbitration award may be confirmed and enforced in a court of competent jurisdiction.
Modification
DocuClipper reserves the right to update or change the terms of this agreement at any time. Changes may include, but are not limited to, updates to commission structures, payment processes, or program rules. Continued participation in the program after changes are posted constitutes your acceptance of the revised terms.
